By using Transparent, a service operated by Instance, LLC (“Instance, LLC,” “Transparent,” “we,” “us,” or “our”), you agree to these Terms & Conditions. If you do not agree, you must not use our services.
Transparent provides information, tools, and services related to rental markets. These may include data, insights, alerts, recommendations, communications, and other resources delivered through websites, mobile applications, email, text messages, or any other channels we choose. All information and materials provided through our services are offered strictly for informational purposes and should not be relied upon as legal, financial, housing, or professional advice. We make no representations or warranties regarding the accuracy, timeliness, completeness, or suitability of any information, and any reliance you place on our services is entirely at your own risk.
You represent that you are at least eighteen years old and that the information you provide to us is accurate and complete. You also represent that you are located in the United States. You agree not to misuse our services in any way, including by attempting to extract, scrape, copy, or resell our data or content; by interfering with the operation or security of the platform; or by using Transparent for any unlawful or harmful purpose. We reserve the right to suspend or terminate your access at any time, with or without notice, for any reason.
Some parts of the service may require payment. Fees, if applicable, will be disclosed at the time of purchase or subscription. Payments are processed by third-party providers, and we are not responsible for issues, errors, or unauthorized activity involving those providers.
By providing your contact information, you consent to receive alerts, updates, and promotional communications from us. Standard messaging or data rates may apply, and you may opt out at any time using the instructions provided in our messages.
We collect personal and non-personal information as described in our Privacy Policy, and we may use, share, or sell such information as permitted by law. If you submit any content or feedback to us, you grant Instance, LLC a perpetual, worldwide, royalty-free license to use, reproduce, modify, and distribute that content for any lawful business purpose.
You acknowledge that some of the data we provide originates from third-party or public sources, including through automated collection and scraping. We do not claim ownership of such third-party data, and it is provided on an “as is” and “as available” basis. We make no guarantees about its accuracy, completeness, or continued availability. We also do not guarantee that our services will be uninterrupted, secure, or error-free, and we reserve the right to modify, suspend, or discontinue any aspect of Transparent at any time without notice or liability.
All services are provided without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, reliability, or accuracy. To the fullest extent permitted by law, Instance, LLC, Transparent, and our officers, employees, and agents will not be liable for any indirect, incidental, consequential, punitive, or special damages of any kind, including loss of profits, data, business opportunities, or housing opportunities, even if we have been advised of the possibility of such damages. Our total liability for any claim arising out of or relating to the use of our services will not exceed the greater of the total amount you paid to us in the twelve months preceding the claim or fifty dollars ($50).
You agree to indemnify and hold harmless Instance, LLC, Transparent, and our employees and agents from and against any claims, damages, losses, liabilities, and expenses arising from your use of the services or your violation of these Terms.
Any dispute arising under these Terms will be resolved exclusively through binding arbitration in the State of Oregon under the rules of the American Arbitration Association. You waive the right to participate in any class action, class arbitration, or representative proceeding. These Terms are governed by the laws of the State of Oregon, without regard to conflict-of-law principles, and any disputes must be resolved in Oregon unless both parties agree otherwise. If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.
We may update these Terms at any time by posting a revised version with a new effective date. Continued use of the services after changes are posted constitutes acceptance of the updated Terms.
